Welcome to HelloLucia.ai. These Terms of Use (“Terms”) govern your access to and use of websites, applications, software, and related services provided by Hello Lucia, Inc. and its affiliates (“Hello Lucia,” “Lucia,” “we,” “us,” or “our”).
By accessing or using our services, you agree to these Terms. If you do not agree, do not use the services. We may update these Terms from time to time. Continued use after an update means you accept the revised Terms.
Important Notice: These Terms include a mandatory arbitration provision, which requires most disputes to be resolved individually and outside of court. Please review “Dispute Resolution and Arbitration” below.

1. Eligibility and Account Requirements
You must be at least 18 years old to use Hello Lucia services. If you create an account or request access, you agree to provide accurate, current, and complete information, and to keep that information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without authorization.
2. What Lucia Provides
Lucia is an operational intelligence system designed to support hospitality operators, property owners, teams, and related service providers. Lucia may help organize operational signals, summarize context, prioritize tasks, draft responses, and reduce decision burden.
Lucia is intended to support human judgment, not replace it. Property operators, owners, managers, and other designated users remain responsible for reviewing recommendations, making final decisions, and taking real-world action.
3. Acceptable Use
You agree not to misuse the services. You may not:
- Use the services for unlawful, harmful, abusive, or fraudulent purposes
- Upload or transmit viruses, malware, or harmful code
- Attempt to bypass, disable, or interfere with security or access controls
- Scrape, crawl, or extract data without written permission
- Impersonate another person or misrepresent your authority
- Upload content you do not have the right to use or share
- Use the services to send spam or unauthorized communications
- Reverse engineer, copy, resell, or commercially exploit the services without permission
- Use Lucia to make or automate decisions that require independent professional, legal, financial, medical, or emergency judgment without appropriate human review
4. Communications
If you provide your email address, phone number, or other contact information, you consent to receive service-related communications from Hello Lucia. These may include account notices, product updates, support responses, waitlist updates, and administrative messages.
You may opt out of marketing communications where applicable, but we may still send non-marketing messages related to your account, requests, or use of the services.
5. Intellectual Property
The services, software, designs, interfaces, trademarks, logos, text, and related materials are owned by Hello Lucia or our licensors. These Terms do not transfer ownership of any Hello Lucia intellectual property to you.
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the services as permitted by these Terms and any applicable customer agreement.
6. Customer and User Content
You retain ownership of content you submit to the services, including operational notes, messages, property context, media, feedback, and other materials.
By submitting content, you grant Hello Lucia the rights necessary to host, process, transmit, display, analyze, secure, support, and improve the services. We use customer operational data only as described in our Privacy Policy and applicable agreements.
7. AI Outputs and Operational Guidance
Lucia may generate AI-assisted summaries, classifications, recommendations, draft messages, or other outputs. These outputs may be incomplete, inaccurate, or unsuitable for a particular context.
You are responsible for reviewing AI-generated outputs before relying on them or using them in operational, guest-facing, legal, financial, safety, or other important contexts. Hello Lucia does not guarantee that AI-generated guidance will be error-free or appropriate for every situation.
8. Third-Party Services and Integrations
The services may connect with or reference third-party platforms, communication providers, hosting providers, analytics tools, AI model providers, property systems, or other integrations. We are not responsible for third-party services, and your use of them may be governed by separate terms and privacy policies.
9. Suspension or Termination
We may suspend or terminate access to the services if we believe you have violated these Terms, created risk for Hello Lucia or others, or used the services in a way that may harm the product, infrastructure, customers, guests, operators, or the public.
You may stop using the services at any time. Certain provisions of these Terms will survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any provisions that by their nature should survive.
10. Disclaimer of Warranties
The services are provided “as is” and “as available.” To the fullest extent permitted by law, Hello Lucia disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, reliability, and non-infringement.
We do not warrant that the services will be uninterrupted, secure, error-free, or that AI-generated outputs will be complete, accurate, or suitable for any specific purpose.
11. Limitation of Liability
To the fullest extent permitted by law, Hello Lucia will not be liable for indirect, incidental, consequential, exemplary, special, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or reputational harm arising out of or related to your use of the services.
Hello Lucia’s total liability for any claim arising out of or related to these Terms or the services will not exceed the greater of one hundred dollars ($100) or the amount you paid to Hello Lucia for the services in the six months before the claim arose.
12. Indemnification
You agree to defend, indemnify, and hold harmless Hello Lucia, its affiliates, officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your misuse of the services, violation of these Terms, or content you submit through the services.
13. Dispute Resolution and Arbitration
If a dispute arises, the parties agree to first attempt to resolve it informally by providing written notice and a reasonable opportunity to respond.
If the dispute is not resolved informally, it will be resolved through confidential, binding arbitration administered by JAMS or another mutually agreed arbitration provider. You and Hello Lucia waive the right to a jury trial and the right to participate in a class action or collective action, except where prohibited by law.
This arbitration provision survives termination of these Terms.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, unless another jurisdiction’s law is required by applicable consumer protection law.

16. Changes to These Terms
